Athenaeum International Holdings Ltd, the investors behind Brayleys Cars Ltd, has agreed to acquire Johnsons Cars Ltd in a significant move to scale its UK automotive retail operations.
The deal, expected to complete by the end of June, will create a major new force in the UK motor trade, operating 79 franchise sales points and representing 21 leading brands.
The acquisition marks the latest chapter in Athenaeum’s expansion strategy, which began with its investment in Brayleys Cars in 2018 and continued with the 2022 acquisition of nine West Way Nissan dealerships. Post-completion, the combined group will employ nearly 2,000 people and will incorporate Johnsons’ TPS Centres, fleet services, and group support infrastructure.
Founded in 1999, Johnsons Cars Ltd has grown into a prominent multi-brand dealer group with a strong presence in the Volkswagen Group portfolio, including Volkswagen, SEAT, CUPRA and Škoda, along with other key franchises such as Mazda, Suzuki, Hyundai and Honda. The move is expected to make the group Honda’s largest European dealer by volume.
The transaction is a full share purchase, including all operational entities, staff and naming rights. While the businesses will evolve over time, Athenaeum emphasised its commitment to continuity and stability for employees and partners.
José Blanco, chief executive officer of Brayleys Cars Ltd, said: “This is an exciting new era for the company. Johnsons Cars is a highly regarded and well-run business that perfectly complements our existing brand portfolio and geographic footprint.
“The shared values between our teams and our combined strength in key manufacturer partnerships make this a natural fit for the next step in our growth trajectory.”
Mike Berwick, chief executive officer of Johnsons Cars Ltd, added: “After 26 years of Johnsons Cars, it was incredibly important to find the right business to carry it forward.
“Following careful consideration by the board, we’re confident that the new owners share our values and have the vision and means to create continued success for our staff, brand partners, and customers.
“I want to sincerely thank our dedicated team, loyal brand partners, and valued customers all of which have been instrumental in shaping Johnsons Cars into the business it has become.”
